Another bonus condition exists: if SpaceX operates data centers in space and secures minimum computing capacity of 100 terawatts, an additional 60.4M restricted shares are granted. This condition carries its own separate valuation threshold.

Notably, these bonus conditions have no time limit. Unlike Tesla's structure, which specifies target dates, Musk can claim the reward at any point during his SpaceX tenure once conditions are satisfied.


Post-IPO, Musk Retains 79% Voting Control

SpaceX will implement a dual-class share structure upon going public. Musk's Class B shares carry 10 votes per share. This mechanism allows Musk to maintain approximately 79% voting power even after public listing. The structure ensures operational control remains intact regardless of public market share sales.

Tesla adopted the same framework, and Google and Meta similarly employ dual-class structures to preserve founder control.


A Pattern Repeating from Tesla

This bonus structure mirrors Musk's established playbook. In 2018, Tesla structured a compensation plan with 12 performance tiers tied to market cap and revenue/profit milestones, granting stock options upon achievement. Despite widespread criticism of "impossible targets," Musk's 2025 December appellate ruling validated that compensation package. Last November, Tesla approved a new compensation package worth up to $1T contingent on robotaxi deployment, humanoid robots, and $850B market valuation.

Including Mars colonization as a bonus condition follows identical logic: embedding seemingly impossible objectives in contracts and using them to mobilize the entire organization.


Is Mars Settlement Realistically Feasible?

Musk has stated his intent to manufacture 1,000 Starship units by 2050, launching three daily to transport 1M people to Mars. NASA targets initial human Mars landing in the late 2030s to early 2040s, planning initially for minimal crew sizes.
